NOTICE IS GIVEN that the Board of School Directors of Panther Valley School District, in Carbon and Schuylkill Counties, Pennsylvania (the "School District"), at its meeting held on October 21, 2026, adopted a resolution (the "Resolution"), the caption and summary of which is as follows:
"RESOLUTION
INCURRING NONELECTORAL DEBT TO BE EVIDENCED BY ITS GENERAL OBLIGATION NOTE, SERIES B OF 2026, IN THE PRINCIPAL AMOUNT OF $1,585,000, TO FINANCE A CAPITAL PROJECT FOR A NEW ROOF, AND TO PAY RELATED COSTS OF ISSUING THE NOTE; ACCEPTING A BANK LOAN PROPOSAL; SETTING FORTH THE TERMS AND SUBSTANTIAL FORM OF THE NOTE; PLEDGING THE SCHOOL DISTRICT'S FULL FAITH, CREDIT AND TAXING POWER, WITHIN THE LIMITS ESTABLISHED BY LAW, TO SECURE THE NOTE; CREATING A SINKING FUND AND APPOINTING A SINKING FUND DEPOSITORY; AND AUTHORIZING RELATED ACTIONS AND
DOCUMENTS."
The loan proposal for the General Obligation Note, Series B of 2026 (the "Series B Note") that was accepted by the School Board included a purchase price of $1,585,000 (100% of the principal amount), and the annual interest rate payable on the Note is fixed at 5.55% until final maturity.
The adopted Resolution was amended to increase the principal amount of the Series B Note from $1,550,000 to $1,585,000 and to incorporate a debt service schedule for the Series B Note. The adopted Resolution, as amended, can be examined in the office of the Secretary of the Board of the School District located at One Panther Way, Lansford, Pennsylvania, on any open business day of the School District between 8:00 A.M. and 3:00 P.M. This Notice is given in accordance with the Pennsylvania Local Government Unit Debt Act.
